Open a company in Hong Kong: costs, documents and steps

To open a company in Hong Kong (a private company limited by shares) you need at least one shareholder, one director who is an individual, a company secretary and a Hong Kong registered office, then you file the incorporation form (NNC1) with the Companies Registry. The government fee is HK$1,545 for an electronic filing, plus HK$2,350 for a one-year business registration, and electronic certificates are usually issued within an hour. Both plans include a first-year statutory company secretary, designated representative, tax representative, SCR and first minutes. HK$1,000 off if you don't need the physical company kit. Government fees as published by the Companies Registry and Inland Revenue Department (BR fee for certificates starting 1 April 2026 to 31 March 2027).

What you need to prepare

  • Proposed English and/or Chinese company names (two or three options; we check availability)
  • ID card or passport copies and proof of address for shareholders and directors
  • Share capital and shareholdings (there is no minimum paid-up capital)
  • A short description of the business
  • A registered office address: your own Hong Kong address, or our registered office service

Steps and timing

  1. Consult and name check on WhatsApp.
  2. Documents: we prepare the articles and NNC1 for signing.
  3. Filing: electronic filing with the Companies Registry, with business registration at the same time.
  4. Certificates: the CI and BR are usually issued within an hour of an electronic filing; the whole process usually takes a few working days, depending on documents.
  5. After incorporation: statutory registers, a company bank account (usually 2–4 weeks or longer; the bank decides) and bookkeeping.

Non-residents and Mainland owners

Shareholders and directors can be any nationality and live anywhere, and the process can be done remotely. The secretary must be based in Hong Kong and the registered office must be a physical Hong Kong address. See Mainland owners and bank accounts for non-residents.

Can one person open a limited company?

Yes. One person can be the sole shareholder and director, but a sole director cannot also be the company secretary, so a secretary is still needed. Our packages include the first-year secretary.

Is there a minimum share capital?

No. The Companies Ordinance has no minimum paid-up capital requirement.

What has to be done every year after incorporation?

File the annual return (NAR1), renew the business registration, keep accounts and have them audited, and file profits tax returns when issued. See our accounting and company secretary pages.
