Hong Kong companies with a BVI (or other offshore) shareholder

Last reviewed:

A Hong Kong private limited company can have a corporate shareholder, including a British Virgin Islands (BVI) company. That does not waive Hong Kong rules: you still need a natural-person director, a Hong Kong-based company secretary, a Hong Kong registered office, annual returns and business registration. It does increase KYC/AML work — you must identify the individuals who ultimately control the BVI company for the significant controllers register, and banks and licensed TCSPs will ask for certified BVI constitutional documents. BizAion’s published plan prices are for companies whose directors and shareholders are individuals. Structures with BVI/Cayman (or other offshore) shareholders are quoted separately after we see the chart. This page is not a BVI incorporation price list.

Who this guide is for

  • Overseas founders who already have (or plan) a BVI company and want a Hong Kong operating or billing company underneath.
  • Groups inserting a BVI holding company above an existing Hong Kong Co.
  • Advisers preparing clients for longer bank KYC and SCR look-through — not people looking for a “cheap BVI package” price on a Hong Kong website.

If every shareholder and director is an individual, use our ordinary Hong Kong company setup guide and published plans instead.

What still applies on the Hong Kong side

  • At least one natural-person director, a Hong Kong-based company secretary, and a registered office in Hong Kong.
  • File the annual return (NAR1) and renew business registration every year.
  • Keep a significant controllers register (SCR). A BVI corporate shareholder almost always means you must look through to the individuals who ultimately own or control that BVI company.

Documents banks and TCSPs usually ask for (expect more than a simple Co)

  • BVI constitutional pack: certificate of incorporation, register of directors and members, and often a certificate of good standing — commonly certified.
  • Ultimate beneficial owners: who owns or controls the BVI company, with passport and proof of address.
  • Chart: a clear ownership diagram from individuals → BVI → Hong Kong Co.
  • Hong Kong company file: Certificate of Incorporation, Business Registration, NAR1, articles, and evidence the business is real (invoices, contracts, website) when a bank account is needed.
  • TCSP licence: providers who form or administer companies as a business in Hong Kong generally need a Trust or Company Service Provider licence from the Registrar of Companies (Companies Registry).

Multi-layer charts take longer at banks than an individual-owned Hong Kong company. See our non-resident bank account guide for the Hong Kong-side expectations.

How BizAion quotes (and what we will not invent)

  • Individual-owned Hong Kong Cos: published formation / secretary / accounting plans on our pricing page.
  • BVI or other offshore in the chain: separate quote after KYC scoping — because document collection and AML review cost more.
  • We do not publish BVI formation fees here. Those belong to the BVI registered agent / BVI Financial Services Commission path and change over time.
  • We do not give tax or immigration advice on this page. Cross-border tax, economic substance and visas need advisers for your facts.

Frequently asked questions

Can a BVI company own a Hong Kong company?

Yes. Hong Kong private companies may have corporate shareholders, including overseas companies. You still need a natural-person director and a Hong Kong company secretary.

Why doesn’t BizAion show a fixed BVI package price here?

Because BVI formation fees sit with the BVI agent/regulator path, and Hong Kong KYC effort varies with the chart. Our published plans are for individual shareholders and directors; offshore layers are quoted after we see the structure.

Do I still need a Hong Kong company secretary?

Yes. The Companies Ordinance still requires a Hong Kong-based company secretary even if a shareholder is a BVI company.

Will a bank open an account faster if I use a BVI holding company?

Usually the opposite: more layers means more documents and questions. A simple individual-owned Hong Kong company is often faster to explain. We help prepare the Hong Kong file; the bank decides.

Is this tax advice about BVI economic substance?

No. This guide only covers Hong Kong company / KYC / secretary basics. Ask a cross-border tax adviser about substance and reporting for your facts.
